1. Acceptance of Terms

By accessing or using the services provided by TechCoreSystems ("Provider"), located at Gran Via de les Germanies 20, 46005 Valencia, Spain, you ("Client") agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

2. Scope of Services

TechCoreSystems provides IT infrastructure management, cloud system deployment, cybersecurity auditing, technical consulting, and related technology services as described in individual service agreements and proposals. All services are delivered in accordance with the specifications outlined in the signed Statement of Work (SOW).

3. Payment Terms

All invoices are payable within 14 days of the invoice date unless otherwise specified in the SOW. Late payments will incur a penalty of 1.5% per month on the outstanding balance. Services may be suspended for accounts more than 30 days past due. All prices are quoted in EUR and exclude applicable taxes (IVA/VAT).

4. Intellectual Property

Upon full payment, the Client receives a perpetual, non-exclusive license to all deliverables produced under the service agreement. TechCoreSystems retains ownership of all pre-existing tools, frameworks, methodologies, and general knowledge developed independently of the Client engagement.

5. Confidentiality

Both parties agree to maintain strict confidentiality of all proprietary information exchanged during the service engagement. This obligation survives the termination of the service agreement for a period of 3 years. Exceptions include information that is publicly available, independently developed, or required by law to be disclosed.

6. Limitation of Liability

TechCoreSystems' total liability shall not exceed the total fees paid by the Client for the specific service giving rise to the claim. We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

7. Data Protection

Both parties agree to comply with the GDPR and Spanish data protection legislation. A separate Data Processing Agreement (DPA) will be executed for any service involving the processing of personal data on behalf of the Client.

8. Termination

Either party may terminate a service agreement with 30 days written notice. TechCoreSystems may terminate immediately in the event of material breach, non-payment for 30+ days, or insolvency. Upon termination, all outstanding work product shall be delivered to the Client upon payment of all due fees.

9. Governing Law

These Terms are governed by the laws of Spain and the European Union. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Valencia, Spain, without prejudice to the Client's right to bring proceedings in their country of residence.

1. General Policy

TechCoreSystems, registered at Gran Via de les Germanies 20, 46005 Valencia, Spain, is committed to delivering high-quality IT infrastructure and consulting services. We evaluate all refund requests on a case-by-case basis in accordance with applicable Spanish and EU consumer protection laws, including the Spanish General Law for the Defence of Consumers and Users (Real Decreto Legislativo 1/2007).

2. Service-Based Refunds

  Pre-Service Cancellation: Full refund of any advance payment if cancelled before work has commenced. Processing time: 10 business days.

  Partial Completion: If a service is terminated after work has begun, the Client is refunded for deliverables not yet produced. Work already completed and delivered is non-refundable.

  Post-Delivery Issues: If deliverables do not meet the specifications defined in the SOW, TechCoreSystems will, at its discretion, either remedy the issue at no additional cost or issue a partial refund proportional to the non-conforming components.

3. Retainer & Subscription Services

Monthly retainer services (e.g., Managed IT Support) may be cancelled with 30 days written notice. The current billing period is non-refundable, but no further charges will be incurred. Any prepaid period beyond the notice window will be refunded on a pro-rata basis.

4. Refund Process

To request a refund, the Client must submit a written request to [email protected] with: (a) the service agreement reference number; (b) a description of the grounds for the refund request; (c) any supporting documentation. TechCoreSystems will acknowledge receipt within 2 business days and provide a resolution within 14 business days.

5. Payment Method

Approved refunds are processed via the original payment method. For bank transfers, refunds will be issued to the originating account within 14 business days of approval. Stripe payment link transactions are refunded directly through the Stripe dashboard.

6. Exceptions

Refunds are not available for: (a) services fully delivered and accepted by the Client; (b) custom development work where source code has been transferred; (c) third-party licensing fees or infrastructure costs already incurred on the Client's behalf; (d) consulting hours already consumed.

7. Dispute Resolution

In the event of a refund dispute, both parties agree to attempt amicable resolution through direct communication. If no resolution is reached within 30 days, the dispute may be escalated to the Spanish consumer arbitration body (Junta Arbitrage de Consumo) or the competent courts of Valencia, Spain.
